Principal Associate - M&A/PE/VC & General Corporate Team - Law Firm - LLB (7-10 yrs)

A reputed Tier 2 law firm is seeking an experienced and driven Principal Associate to join its Mergers & Acquisitions, Private Equity, Venture Capital, and General Corporate team in Mumbai and Delhi.

Key Responsibilities:

- Leading and managing complex M&A, private equity, and venture capital transactions, including structuring, drafting, and negotiating transaction documents (SPAs, SHAs, investment agreements, JV agreements, etc.).

- Advising clients on cross-border and domestic acquisitions, strategic investments, and exits.

- Conducting legal due diligence and preparing detailed reports.

- Managing regulatory approvals and compliance requirements under Indian corporate, securities, and foreign exchange laws.

- Advising on general corporate matters, including company incorporation, corporate governance, and compliance issues.

- Handling joint ventures, strategic alliances, and restructuring matters.

- Supervising and mentoring junior associates within the team.

- Collaborating with internal and external stakeholders to ensure smooth execution of transactions.

Key Requirements:

- Qualified lawyer with 7-10 years of experience in M&A, private equity, venture capital, and general corporate matters, preferably at a leading law firm.

- Strong experience in handling complex and high-value transactions.

- Excellent drafting, negotiation, and analytical skills.

- Ability to manage teams and work independently under tight deadlines.

- Strong client management and communication skills.
