Principal Associate - Equity Capital Markets (5-10 yrs)

A leading full-service law firm with a growing Capital Markets practice is looking for a Principal Associate. The ideal candidate will have significant experience advising on equity and debt capital market transactions, ensuring regulatory compliance, and managing complex deals for domestic and international clients.

Key Responsibilities:

- Lead and advise on Initial Public Offerings (IPOs), Further Public Offerings (FPOs), Qualified Institutional Placements (QIPs), rights issues, preferential issues, and public debt issuances.

- Assist in structuring Infrastructure Investment Trusts (InvITs), Real Estate Investment Trusts (REITs), takeovers, and buybacks.

- Draft and negotiate key transaction documents, including offer documents, underwriting agreements, and listing applications.

- Ensure compliance with SEBI regulations, Companies Act, FEMA, stock exchange guidelines, and other securities laws.

- Engage with regulatory authorities such as SEBI, RBI, and stock exchanges for approvals and compliance-related matters.

- Conduct due diligence and risk assessments for capital markets transactions.

- Manage and coordinate with issuers, underwriters, merchant bankers, foreign investors, and institutional clients.

- Oversee a team of associates, ensuring high-quality execution and providing mentorship.

Key Qualifications & Skills:

- 8+ years of post-qualification experience in Capital Markets at a reputed law firm.

- Strong expertise in ECM & DCM transactions, including IPOs, QIPs, and private placements.

- In-depth knowledge of SEBI, Companies Act, and other relevant securities laws.

- Proven ability to lead high-value transactions independently.

- Strong drafting, negotiation, and client management skills.

- Experience working with financial institutions, underwriters, and listed companies.

- Excellent analytical and problem-solving abilities.

Preferred Experience:

- Experience in high-profile transactions such as global offerings, cross-border listings, and complex securities issuances.

- Prior exposure to fintech, infrastructure, banking, or manufacturing sector capital market transactions is a plus.
