We are supporting our client in the manufacturing sector to identify an experienced and qualified Company Secretary to oversee statutory compliance, lead IPO initiatives, and drive corporate governance processes. This is a high-impact leadership role based in Hyderabad.
Role Summary:
The Company Secretary will ensure the organization adheres to all applicable laws and regulatory requirements. The role requires a proactive individual with prior IPO exposure, strong understanding of corporate and securities laws, and the ability to work closely with board members, regulators, and cross-functional teams.
Key Responsibilities:
Secretarial & Compliance:
- Ensure ongoing compliance with the Companies Act, SEBI regulations, FEMA, and other statutory requirements.
- Schedule and manage Board, Committee, and General Meetings; draft notices, agendas, and detailed minutes.
- Maintain statutory registers, records, and filings with MCA, ROC, SEBI, NSE/BSE.
- Draft, review, and vet corporate and legal documentation, including resolutions, agreements, and disclosures.
IPO Management:
- Lead and manage the entire IPO process: from DRHP to listing, in coordination with investment bankers, legal advisors, auditors, and regulatory bodies.
- Prepare DRHP, RHP, and final prospectus; ensure accurate and timely filings with SEBI and exchanges.
- Coordinate due diligence processes and investor roadshows; manage regulatory communications and stakeholder disclosures.
Corporate Governance:
- Serve as a liaison between the Board of Directors and executive management.
- Implement and monitor robust corporate governance practices in line with legal and regulatory standards.
- Provide guidance on board responsibilities and regulatory obligations.
Legal & Regulatory Affairs:
- Liaise with external legal counsel, auditors, consultants, and regulators on legal and compliance matters.
- Offer legal advisory to internal departments on commercial, labor, and industry-specific laws.
- Ensure compliance with labor regulations, environmental laws, and other industry mandates relevant to manufacturing operations.
Qualifications & Skills:
- Mandatory: Associate Member of the Institute of Company Secretaries of India (ACS).
- Preferred: LLB or equivalent legal qualification.
- Proven experience in managing the IPO process from initiation to listing.
- Minimum 3 years of relevant post-qualification experience.
- Exposure to compliance and governance in the manufacturing industry is a plus.
- In-depth knowledge of corporate law, SEBI guidelines, listing regulations, and capital market operations.
- Strong drafting, communication, analytical, and stakeholder management skills.
