JOB DESCRIPTION

Job Title: Associate Vice President / Vice President Head of Trusteeship Compliance and Department Establishment

Department: Trusteeship Services
Location: Mumbai / Gurugram

Role Overview:

As the Associate Vice President / Vice President – Head of Trusteeship Compliance and Department Establishment, you will be responsible for building and leading the Trusteeship Services Department, with a strong focus on compliance management and ensuring the highest level of regulatory adherence. This includes setting up the department’s processes, policies, and teams, while ensuring that all activities within the trusteeship function meet the regulatory standards set by SEBI, RBI, Companies Act, and other relevant bodies. You will also drive the development of a compliant, efficient, and scalable operational framework for trusteeship services.

Key Responsibilities:

1. Establishment of Trusteeship Services Department

  • Department Setup: Lead the creation and structuring of the Trusteeship Services Department, including defining its strategic direction, organizational design, and operational procedures.
  • Team Building: Recruit and onboard key personnel with expertise in trusteeship, compliance, and regulatory frameworks. Develop and implement training programs to ensure ongoing professional development.
  • Process & Policy Development: Design, implement, and continuously refine the policies, processes, and workflows for the department to ensure they align with organizational goals and regulatory requirements.

2. Compliance & Regulatory Adherence

  • Regulatory Framework: Ensure that the Trusteeship Department operates in full compliance with relevant regulations such as SEBI, RBI, Companies Act, and other applicable financial regulations (e.g., FRDI).
  • Monitoring & Auditing: Develop and implement internal auditing and monitoring systems to track compliance with regulatory requirements. This includes reviewing all documentation related to trusteeship agreements, financial instruments, and transactions.
  • Legal & Risk Compliance: Work closely with the legal and risk management teams to ensure that all transactions and services meet both legal and regulatory standards.
  • Reporting & Documentation: Ensure proper documentation is maintained for all trusteeship agreements, actions, and financial instruments under the trusteeship, ensuring transparency and accountability. Prepare and submit compliance reports to regulatory authorities as needed.

3. Risk Management & Internal Controls

  • Risk Assessment: Establish procedures to identify and mitigate risks associated with trusteeship services. Develop risk management protocols to ensure all transactions, including debenture trusteeship, securitization, and structured finance, meet the required standards of compliance and internal control.
  • Compliance Training: Provide ongoing compliance training for the department team and other relevant stakeholders to ensure awareness of regulatory changes, compliance practices, and company policies.
  • Regulatory Audits: Prepare for and coordinate any external audits, ensuring full compliance with regulatory agencies during audits and examinations.

4. Liaison with Regulatory Bodies

  • Regulatory Relationships: Act as the primary point of contact with regulatory bodies such as SEBI, RBI, and other relevant authorities for compliance-related matters.
  • Regulatory Change Management: Monitor changes in laws and regulations impacting trusteeship services. Ensure the department is updated on regulatory changes and that necessary adjustments are made to the operational processes.

5. Reporting & Performance Monitoring

  • Compliance Metrics: Track and report key compliance metrics to senior management, such as compliance adherence rates, internal audit outcomes, and regulatory reporting timelines.
  • Internal Reporting: Provide detailed and timely reports on compliance activities, risks, and issues related to the trusteeship services, ensuring senior management is informed and aligned.

  • Compliance Frameworks: Expertise in establishing and maintaining effective compliance frameworks and risk management protocols.
  • Leadership & Team Building: Proven ability to build and lead a high-performing team, ensuring that compliance practices are ingrained across all levels of the department.
  • Attention to Detail: Strong attention to detail to ensure compliance with legal, financial, and operational standards.
  • Stakeholder Management: Excellent communication skills, with the ability to liaise effectively with regulatory bodies, clients, legal teams, and senior management.
