HEAD Company Secretary
- Ensuring a company's legal and regulatory compliance, corporate governance, and stakeholder relationships.
- Act as a key advisor to the board of directors and senior management, overseeing compliance, corporate governance practices, and company administration.
- Managing board and shareholder meetings, maintaining statutory books, and ensuring the company adheres to all relevant laws and regulations.
Key Responsibilities:
1. Governance and Compliance:
Ensuring Regulatory Compliance:
- Responsible for regulatory compliance, ensuring the company adheres to all applicable laws, rules, and regulations.
Maintaining Statutory Books:
- Responsible for maintaining all statutory books, including registers of members, directors, and secretaries.
Board Oversight:
- Ensure the board of directors operates with transparency, integrity, and accuracy, facilitating effective decision-making.
Compliance with Corporate Governance:
- Implementing and overseeing systems that ensure the company adheres to all relevant codes and regulations.
2. Stakeholder Engagement:
Facilitating Meetings:
- Convene and service board meetings, annual general meetings (AGMs), and other key corporate events, ensuring compliance with legal requirements and effective communication.
Maintaining Relationships:
- Manage communication with external stakeholders, including regulatory bodies, legal advisors, and auditors.
Reporting and Communication:
- Prepare and distribute reports, communicate decisions to relevant stakeholders, and manage correspondence.
3. Other Key Responsibilities:
Providing Legal and Strategic Advice:
- Offering legal, financial, and strategic advice to the board and management, both during and outside of meetings.
Managing Shareholder Relations:
- Handle shares option schemes, paying dividends, and managing communication with shareholders.
Overseeing Corporate Actions:
- Play a role in significant corporate actions like mergers, takeovers, and changes to the company's structure.
Managing Contracts and Agreements:
- Managing contractual agreements with suppliers and customers.
Pension Scheme Management:
- Oversee the administration of the company's pension scheme.
Qualification And Experience:
1. ACS & LLB with 20-25 years of experience in a company secretary role or similar position, with experience in corporate governance and compliance, is generally required.
2. Proficiency in corporate governance practices, legal compliance, company law, board procedures, and document management systems is crucial.
3. Excellent communication and interpersonal skills, strong analytical and problem-solving abilities, attention to detail, and the capacity to work under pressure are essential.
4. Familiarity with corporate governance software and systems is beneficial.
5. Experience with regulatory filings and compliance audits is preferred.
6. Influencing skills.
7. Excellent organization and time management.
8. An ability to take initiative.
9. A flexible and practical approach to work.
10. Discretion when handling confidential information.
11. Maintain a diplomatic approach towards issues.
12. Confidence to provide support to high-profile company staff and board members.
